Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Cyton ("Cyton", "we", "us", or "our"), an independent product operated from Vietnam. By downloading, installing, or using the Cyton desktop app (the "App") or the website at cytonai.com (the "Site"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Cyton.

• Services means the App, the Site, and related features we provide.
• Account means the account you create by signing in with Google.
• Your Content means your Obsidian vault, notes, and the knowledge graph Cyton builds from them on your device.
• Pro means the paid subscription tier; Free means the no-cost tier.

You must be at least 16 years old, and old enough to form a binding contract in your country, to use Cyton. If you use Cyton on behalf of an organisation, you represent that you are authorised to accept these Terms for it. By using the Services you confirm that you meet these requirements.

Cyton uses Sign in with Google for authentication. You are responsible for keeping access to your Google account secure and for activity that happens under your Cyton account. The information used to create your account is handled as described in our Privacy Policy. We may suspend or terminate accounts that violate these Terms.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, and to use the Site, for your own personal or internal business use.

You agree not to:

• resell, sublicense, rent, or commercially redistribute the Services;
• copy, modify, or create derivative works of the Services except as permitted by law;
• reverse engineer or attempt to extract source code, except to the extent this restriction is prohibited by applicable law;
• circumvent plan limits, licensing, or security measures, or access the Services other than through the interfaces we provide;
• use the Services to build a competing product, or in any unlawful or abusive way.

You own Your Content. Cyton does not claim ownership of your notes or the graph built from them. Because Cyton is local-first, Your Content stays on your device; we do not store a copy of your vault.

You grant us only the limited permission needed to operate the features you use - for example, to read your vault locally so the App can build your graph, and to transmit the specific content you choose to an AI provider when you use an AI feature (see below). You are responsible for Your Content and for having the rights to use it with Cyton.

Cyton's AI features are powered by Anthropic's Claude, and Cyton can connect to AI assistants you use. When you use these features, relevant content is sent to the AI provider to generate a result, as described in the Privacy Policy.

AI outputs can be inaccurate, incomplete, or misleading. They are provided for assistance only and are not professional, legal, medical, financial, or other expert advice. You are responsible for reviewing outputs before relying on them and for what you choose to send to AI providers. Your use of third-party AI providers is also subject to their terms.

Cyton offers a Free tier and a paid Pro subscription. Pro is billed on a recurring basis (for example, monthly) at the price and currency shown on our pricing page and at checkout. Applicable taxes may be added.

Payments are processed by Lemon Squeezy, which acts as our Merchant of Record. By subscribing you also agree to Lemon Squeezy's terms. Unless cancelled, your subscription renews automatically at the end of each billing period and the payment method on file is charged. We may change pricing or plan features; we will give reasonable notice of material price changes, which take effect on your next renewal.

You can cancel Pro at any time through the Lemon Squeezy billing portal. When you cancel, your Pro access continues until the end of the current paid period and then reverts to Free; we do not delete your local data when you downgrade.

Except where required by law, payments are non-refundable, though we may consider reasonable refund requests at our discretion. Refunds, chargebacks, and billing disputes are handled in line with Lemon Squeezy's policies as Merchant of Record.

You agree not to use Cyton to:

• break the law or infringe anyone's rights, including intellectual property or privacy rights;
• upload or process content you do not have the right to use;
• interfere with, overload, or disrupt the Services or the infrastructure behind them;
• attempt to gain unauthorised access to any system, account, or data;
• misuse AI features to generate unlawful, harmful, or abusive content.

The Services, including the Cyton software, design, branding, name, and logo, are owned by Cyton and protected by intellectual property laws. These Terms do not transfer any of our intellectual property to you beyond the limited licence in Section 5. You may not use the Cyton name or marks without our permission.

Cyton works alongside and depends on third-party services, including Obsidian, Anthropic (Claude), Google, Supabase, Sentry, Lemon Squeezy, and Vercel. We are not responsible for those services, and your use of them is governed by their own terms and policies. Their availability and behaviour are outside our control.

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that results, including AI outputs, will be accurate or reliable. You use Cyton at your own risk.

To the maximum extent permitted by law, Cyton and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Services. To the maximum extent permitted by law, our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve months before the claim, or fifty US dollars (USD 50).

Because Cyton is local-first, you are responsible for backing up Your Content. We are not liable for loss of locally stored notes or graphs.

You agree to indemnify and hold harmless Cyton and its operator from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms or of any law or third-party right.

You may stop using Cyton at any time and delete the App and your local data. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Sections that by their nature should survive termination - such as ownership, disclaimers, limitation of liability, and indemnification - will survive.

We are actively developing Cyton and may add, change, or remove features. We may also update these Terms from time to time. When changes are material, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Services after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of Vietnam, without regard to conflict-of-laws rules. You agree that any dispute relating to these Terms or the Services will be resolved in the courts located in Vietnam, unless mandatory law in your place of residence gives you the right to bring proceedings elsewhere. Nothing in these Terms limits any consumer rights that cannot be waived under the law that applies to you.
